PARTIES. This working agreement between ____________________ (Producer), and ____________________ (Sponsor) defines the roles and responsibilities of both parties (Our, Us, or We) in producing a video tape (the Video).
PRECEDENCE. This agreement supersedes any prior agreement executed between the Producer and the Sponsor to date.
ENTIRE AGREEMENT. We acknowledge that this document contains the entire agreement between Us and this agreement cannot be modified verbally.
ROLES. The Producer shall arrange for the donation of any necessary equipment and labor including that needed to cast, direct, edit, produce, and write the Video. The Sponsor shall define the Video's objectives, approve the final script, and provide production facilities as necessary.
BEST EFFORT BASIS. We agree to perform the above roles solely on a best effort basis. The Producer hereby notifies the Sponsor that unforeseen events may halt or impede the ability to deliver the Video.
COPYRIGHT. The Producer shall retain copyright to all elements generated during production of the Video, including the script.
NON-COMMERCIAL USE. The Sponsor shall use the Video exclusively for non-commercial purposes.
RIGHT TO PUBLIC EXHIBITION. The Producer shall grant the Sponsor a non-exclusive, non-transferable, perpetual right to exhibit the video in public.
RIGHT TO COPY. The Producer shall grant the sponsor a non-exclusive, non-transferable, perpetual right to copy the video for private, non-commercial use. These copies shall bear the Producer's copyright notice.
OTHER RIGHTS. The Producer shall not convey any further rights, including the right to generate derivative works and the right of commercial benefit, to the Sponsor under this agreement. These additional rights, such as using sounds or still images from the Video for publicity purposes, may be negotiated separately.
COST. The Sponsor shall assume that the Video will be produced with donated labor and equipment. The Producer may or may not charge the Sponsor for supplies (such as blank tape) or rental of equipment necessary to produce the Video in accordance with the script approved by the Sponsor. These charges shall not exceed $_____ without the Sponsor's express permission.
INDEMNIFICATION. We enter into this agreement at each party's own legal risk. Neither of Us may indemnify nor obligate the other for any action or consequence that may arise as a result of executing this agreement or producing the Video.
TERMINATION. The Sponsor shall have the right to terminate the production without incurring further cost at any time.
PUBLICITY. Both the Producer and the Sponsor may acknowledge this working agreement in press releases intended for the general public or notices used to recruit talent for the project.
The Sponsor shall allow the Producer to publicly acknowledge that the Video was produced on the Sponsor's behalf. The Producer shall not use the Sponsor's name or reputation in any other fashion without the Sponsor's express permission.
