PARTIES. This agreement between ___________________ (Participant) and ____________________ (Producer) defines the roles and responsibilities of both parties (Us, Our, or We) in developing ____________________ (Video) on behalf of ____________________ (Sponsor), a non-profit 501(c)(3) corporation.
PRECEDENCE. This agreement supersedes any earlier agreement executed between Us in connection with the Video.
ENTIRE AGREEMENT. We acknowledge that this document contains the entire agreement between Us and Our agreement shall not be verbally modified.
ROLES. We shall participate in the Video's production on behalf of the Sponsor. The Participant shall act out a character on or off camera or serve as a crew member. The Producer shall direct, edit, produce, and write the Video.
COPYRIGHT AND TITLE. The Producer shall receive full copyright and title to all intellectual property, products, and works generated during production of the Video, including the script.
RIGHT TO COPY. The Producer shall grant the Participant a non-exclusive, non-transferable, perpetual license to copy the Video.
DERIVATIVE WORKS. The Producer shall grant the Participant a non-transferable, non-exclusive, perpetual license to use raw, unedited recordings of the Participant's performance to create other works. The Participant is responsible for obtaining releases from other Participants that also appear or are heard before copying or exhibiting such footage.
NON-COMMERCIAL USE. We agree to use the Video, raw recordings, or derivative works (Products) for non-commercial purposes only. We agree that entering the Products in competitions or festivals or using the Products privately to obtain employment does not constitute commercial use.
COMPENSATION. We agree to appear in, be heard in, or work on the production entirely on a volunteer basis. The Producer grants the Participant the rights mentioned previously and forgoes commercial rights as consideration for the Participant's services. We do not expect further compensation.
CREATIVE JUDGEMENT AND SCREENING. The Participant grants the Producer full rights to use all audio and video recordings generated during production or derivations thereof as the Producer sees fit. The Producer grants the Participant the right to screen such recordings.
INDEMNIFICATION. We each enter into this agreement at our own legal risk. Neither party may obligate nor indemnify the other for any actions that may arise as a direct or indirect result of executing this agreement. The Participant is hereby notified that the Producer has an agreement with the Sponsor preventing the Producer from providing indemnity to those who participate in this project.
TERMINATION. The Sponsor shall have the right to terminate the production without incurring further cost at any time. The Producer makes no guarantee to the Participant that the video will be finished.
CONFIDENTIALITY AND PUBLICITY. We agree that either party may acknowledge the participation of the other in communication with the general public, such as press releases or recruiting efforts. We agree to comply with all of the Sponsor's confidentiality requirements.
